You retain ownership of any content you upload or create through the Service ("User Content"). By uploading User Content, you grant us a non-exclusive, worldwide, royalty-free licence to host, store, and display that content solely as necessary to provide the Service to you.

5. Subscription, Fees and Payment

Certain features of the Service are available on a subscription basis. By selecting a paid plan, you agree to pay the applicable fees as described on our pricing page. All fees are:

• Billed in advance on a monthly or annual basis, depending on your selected plan.

• Non-refundable except as required by applicable law or as expressly stated in these Terms.

• Subject to change with at least 30 days’ prior notice. Continued use after the change takes effect constitutes acceptance.

If payment cannot be processed, we may suspend your access to paid features until payment is resolved. You are responsible for any taxes applicable to your use of the Service.

6. Free Trials and Promotions

We may offer free trials or promotional pricing from time to time. At the end of a free trial, your account will automatically convert to a paid plan unless you cancel before the trial period ends. We reserve the right to modify or cancel free trials at any time without notice.

7. Cancellation and Termination

You may cancel your subscription at any time from your account settings or by contacting us. Cancellation takes effect at the end of the current billing period; you will retain access until then.

We may terminate or suspend your access immediately, without prior notice or liability, if you breach these Terms or if we are required to do so by law. Upon termination, your right to use the Service ceases and you must cease all use. We will provide a reasonable opportunity to export your data before account deletion, unless prohibited by law.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR THAT ANY ERRORS WILL BE CORRECTED.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AUKURA, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES — ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) USD $100.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR LIMITATION OF LIABILITY, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

You agree to indemnify, defend, and hold harmless Aukura and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your use of the Service, your User Content, or your violation of these Terms.

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

12. Third-Party Services

The Service may integrate with or link to third-party services (e.g. payment processors, authentication providers). Your use of those services is governed by their respective terms and privacy policies. We are not responsible for the practices of third-party services.

13. Modifications to the Service

We reserve the right to modify or discontinue the Service (or any part thereof) at any time with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

14. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Aukura is incorporated, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, the dispute shall be submitted to binding arbitration or the courts of the applicable jurisdiction.

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the effective date. For significant changes, we may also notify you by email. Your continued use of the Service after the effective date constitutes your acceptance of the revised Terms.
